Seiden Law Files New Delaware Chancery Court Complaint In A High-Stakes Derivative Shareholder Suit

Seiden Law has filed a new Delaware Chancery Court complaint in a derivative shareholder suit on behalf of investors in Repairify, a technology company in the automotive repair space. Among other things, the complaint alleges various breaches of fiduciary duty by Repairify’s executives, aided and abetted by Repairify’s majority shareholder, Kinderhook Industries.  The alleged misconduct includes the impulsive termination of an employee who spoke up about serious operational problems—problems that the defendants consciously allowed to fester, causing severe damage to the company.  It also includes the defendants’ blocking of the company’s sale to prevent Kinderhook’s investors from learning how low the company’s value had sunken.
